Terms of Sale

These Terms of Sale apply to any subscription to a paid plan offered by SyncAgency. They supplement the Terms of Use and, together with the latter, constitute the agreement between SyncAgency and the Customer.

2. Plans and Pricing
SyncAgency offers the following subscription plans, billed per model per month:

Add-ons may be offered as extras (additional social accounts, etc.). Prices are shown excluding tax. The applicable VAT is that of the Customer's country, in accordance with the regulations in force.
SyncAgency reserves the right to change its pricing with 30 days' notice. Price changes do not apply to ongoing subscriptions during the current billing period.
3. Sign-up, Discovery and 7-day Trial
Signing up for SyncAgency is free and does not require a credit card. Without a card on file, the Customer accesses the Service in discovery mode, with limited actions.
By registering a credit card, the Customer unlocks full access to all the features of their plan and benefits from a 7-day trial starting from the card registration. This trial:
- Gives access to all the features of the selected plan;
- Concludes, at the end of the 7 days following card registration, with the automatic activation of the subscription and the automatic charge of the plan amount to the card, without any further action from the Customer;
- Gives rise to a first payment that is non-refundable;
- May be stopped at any time before the end of the 7 days to avoid any charge;
- May only be used once per Agency.
The Customer may terminate at any time from their customer area. In the absence of a registered card, the account remains in limited access; the data is retained then deleted under the conditions set out in Article 9.
4. Order and Billing
Subscription to a plan is done directly from the customer area at https://app.syncagency.fr. The Customer acknowledges having reviewed these Terms of Sale before proceeding with payment.
The first charge occurs automatically at the end of the 7-day trial following card registration, and is non-refundable. The subscription is then billed monthly, on the anniversary date of that first charge. Invoices are available in the customer area and sent by email to the billing address provided.
Payment is made by credit card via our secure payment provider. Banking data is not stored by SyncAgency.
5. Renewal and Termination
The subscription is automatically renewed each month. The Customer may terminate their subscription at any time from the settings of their customer area, with no termination fees.
Termination takes effect at the end of the current monthly billing period. No pro-rata refund is made for the remaining period, except where required by law.
SyncAgency may terminate a subscription in the event of non-payment after 7 days of delay, or in the event of a breach of the Terms of Use, without prejudice to any claim for damages.
6. Integrated Payment Processor
SyncAgency offers an integrated payment processor allowing Agencies to receive payments directly within their Telegram conversations. This service is subject to the following specific terms:
- SyncAgency charges no commission on the Agency side (0%) on sales made through the processor;
- A service fee is added on the fan side to the sale price set by the Agency; its rate is specified in the account settings;
- The Agency receives 100% of the nominal price it has set;
- Payment processing fees apply depending on the payment provider used;
- Payouts to the Agency are made according to a schedule defined in the account settings, subject to a 10% reserve held for 60 days;
- The Agency is solely responsible for the tax and legal compliance of sales made through the processor.
7. Right of Withdrawal
In accordance with applicable regulations, the business Customer (B2B) does not benefit from the right of withdrawal provided for consumers.
For individual Customers (B2C), by subscribing to a paid plan and immediately accessing the features of the Service, the Customer expressly acknowledges waiving their 14-day right of withdrawal in accordance with applicable consumer protection law.
However, SyncAgency offers a 7-day trial period, triggered by registering a credit card, allowing the Service to be evaluated. At the end of this period, the card is automatically charged and this first payment is non-refundable, the Customer being able to terminate at any time to avoid renewal. 8. Warranties and Service Level
SyncAgency undertakes to provide the Service professionally and to maintain a reasonably high level of availability. However, no continuous availability guarantee (SLA) is provided on standard plans.
In the event of prolonged unavailability of the Service attributable to SyncAgency (longer than 48 consecutive hours), the Customer may request a credit or an extension of their subscription period equivalent to the duration of the unavailability.
9. Data and Confidentiality
Customer data and media integrated into SyncAgency belong exclusively to the Customer. In the event of termination, the data is retained for 30 days and may be exported on request before permanent deletion.
SyncAgency never uses Customers' data for its own commercial purposes, nor does it transfer it to third parties. Data processing is governed by the Privacy Policy.
10. Governing Law and Disputes
These Terms of Sale are subject to the laws of the State of New Mexico (United States). In the event of a dispute, the parties undertake to seek an amicable solution within 30 days. Failing an agreement, the dispute shall be submitted to the competent courts of Bernalillo County, New Mexico (United States), except where mandatory provisions applicable to consumers provide otherwise.
